Huxedo Terms and Conditions

Welcome to Huxedo! These Terms of Service ("Terms") govern your access to and use of Huxedo, Inc.'s ("Huxedo," "we," "us," or "our") website, mobile applications, software, communications, home intelligence tools, property records, concierge services, supplier discovery services, booking tools, payment features, and related services (collectively, the "Services").

In these Terms, "you" and "your" refer to the individual or entity that accesses or uses the Services. If you access or use the Services on behalf of another person, household, trust, company, property owner, occupant, client, or other entity, you represent that you have authority to do so and to bind that person or entity to these Terms.

By creating an account, accessing, or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Services.

Additional terms may apply to certain products, subscriptions, payment features, supplier participation, sponsored placement, promotions, beta features, or other offerings. If additional terms apply, they will be disclosed through the Services, in an order form, invoice, checkout flow, supplier agreement, sponsored placement agreement, or other applicable document. If there is a conflict between these Terms and any additional terms, the additional terms control for the specific product or transaction to which they apply.

"User" means any homeowner, property owner, property occupant, renter, landlord, property manager, real estate professional, service professional, supplier, contractor, or other person or entity that accesses or uses the Services.

"Homeowner" means a User who owns, occupies, manages, evaluates, purchases, sells, rents, or otherwise has an interest in a residential property or uses the Services in connection with a residential property.

"Supplier" or "Service Provider" means a third-party business, contractor, technician, professional, company, or individual that offers, quotes, schedules, performs, facilitates, or receives payment for home maintenance, repair, improvement, inspection, installation, or related services. Suppliers and Service Providers are independent third parties and are not employees, agents, representatives, partners, joint venturers, franchisees, subcontractors, or affiliates of Huxedo.

"Suggested Supplier" means a Supplier that Huxedo identifies, displays, contacts, recommends, or suggests based on public information, third-party sources, search results, ratings, reviews, review volume, online presence, category fit, location, apparent service area, apparent availability, User preferences, or other criteria. A Suggested Supplier may not have a direct contractual relationship with Huxedo.

"Participating Supplier" means a Supplier that has accepted separate Huxedo supplier terms, payment terms, platform terms, sponsored placement terms, or another agreement with Huxedo.

"Sponsored Supplier" means a Supplier that compensates Huxedo or otherwise participates in a paid, sponsored, promoted, or preferred-placement offering. Sponsored Suppliers may also be Participating Suppliers.

"Home History Database" means Huxedo's proprietary compilation, organization, structure, database, and derived data relating to property history, maintenance history, service history, public record information, User-submitted information, Supplier-submitted information, and other property-related data.

"Fees" means any fees, charges, subscription amounts, booking fees, transaction fees, platform fees, payment processing fees, supplier participation fees, sponsored placement fees, cancellation fees, or other amounts charged by Huxedo or its payment processors in connection with the Services. Applicable Fees, if any, will be disclosed to the relevant User or Supplier before the applicable charge or in the applicable checkout page, account page, invoice, order form, supplier agreement, sponsored placement agreement, or other transaction document.

Huxedo provides a home intelligence, property history, and home maintenance coordination platform. The Services may include tools and services that help Users manage home maintenance, track property history, receive maintenance reminders, understand property-related information, identify potential maintenance needs, discover Suppliers, request quotes, schedule services, communicate with Suppliers, coordinate service appointments, and, where available, make or receive payments.

Huxedo may identify Suppliers using publicly available information, third-party data sources, search engines, business websites, ratings, reviews, review counts, service categories, geographic location, apparent service area, apparent availability, User preferences, Supplier participation, sponsored placement, and other criteria. Huxedo's criteria may vary by service category, geography, supplier density, urgency, rural availability, User needs, and other factors.

Huxedo may modify, suspend, limit, or discontinue any feature, product, tool, service, supplier relationship, promotion, recommendation method, payment feature, subscription, or other part of the Services at any time, with or without notice, except where notice is required by law or by a separate agreement.

Huxedo may suggest, display, contact, coordinate with, or recommend Suppliers based on public and third-party information, including business listings, search results, ratings, reviews, review volume, online presence, location, service category, apparent service area, apparent availability, responsiveness, User preferences, past interactions, Supplier participation, sponsored placement, and other platform criteria.

Ratings, reviews, review counts, online presence, business listings, websites, photos, logos, service descriptions, hours, pricing, contact information, and other third-party information are provided for convenience and informational purposes only. Such information may be incomplete, inaccurate, outdated, manipulated, changed, removed, or unavailable. Huxedo does not verify the accuracy of third-party ratings, reviews, business listings, credentials, licenses, insurance, permits, background information, legal compliance, availability, pricing, service quality, safety, or suitability.

Huxedo's identification or suggestion of a Supplier does not mean that Huxedo endorses, guarantees, certifies, licenses, insures, supervises, controls, or warrants that Supplier or its services. You are solely responsible for evaluating and selecting any Supplier and for confirming that the Supplier is properly licensed, insured, qualified, permitted, available, and suitable for your project before authorizing any work.

Huxedo may display advertisements, paid listings, sponsored information, promoted Suppliers, Sponsored Suppliers, or other sponsored content. Sponsored Suppliers may receive increased visibility, placement, ranking, consideration, or other benefits. Sponsored placement does not mean that Huxedo endorses, verifies, guarantees, supervises, controls, licenses, insures, or certifies the Supplier or its services. Sponsored placements will be identified in the Services.

Huxedo may impose, change, waive, or remove criteria for Supplier inclusion, recommendation, participation, ranking, display, sponsored placement, or continued availability through the Services. Huxedo may remove, demote, suspend, decline, or stop displaying any Supplier or sponsored content at any time in its discretion.

Huxedo is a technology, information, coordination, and concierge platform. Huxedo does not perform, supervise, control, direct, manage, warrant, or guarantee any home maintenance, repair, construction, inspection, installation, or improvement work. Huxedo is not a licensed general contractor, home improvement contractor, property inspector, engineer, architect, insurer, warranty company, or professional advisor in any jurisdiction.

Suppliers are independent businesses and professionals. They determine their own pricing, schedules, tools, methods, staffing, scope of work, safety practices, licensing, insurance, permits, and professional obligations. Huxedo does not control or direct the manner or means by which any Supplier performs work.

Any service contract, quote, invoice, warranty, guarantee, refund obligation, cancellation policy, workmanship obligation, permit obligation, insurance obligation, or legal obligation relating to Supplier services is solely between you and the applicable Supplier, unless Huxedo expressly agrees otherwise in a separate written agreement signed by Huxedo.

Nothing in these Terms creates an employment, agency, partnership, joint venture, franchise, subcontractor, fiduciary, or representative relationship between Huxedo and any Supplier or between Huxedo and any User.

Huxedo may, at its discretion, aggregate homeowner requests, coordinate service opportunities, group similar projects, facilitate communication, assist with scheduling, or make projects more efficient or attractive to Suppliers. When doing so, Huxedo acts only as a platform and coordination facilitator and does not assume responsibility for the performance, quality, safety, legality, price, timing, or outcome of any Supplier work.

By using the Services, you agree to provide current, complete, and accurate information; maintain the security of your account credentials; promptly notify us of unauthorized account use; use the Services only for lawful purposes; and interact with Huxedo, Suppliers, and other Users in a respectful, lawful, and non-fraudulent manner.

You represent and warrant that you own, occupy, manage, represent, or otherwise have lawful authority to access, submit, upload, request, provide, or authorize information, service requests, communications, property records, photos, documents, invoices, maintenance history, or other content relating to any property you add to or manage through the Services.

If you use the Services as a real estate agent, broker, property manager, transaction coordinator, investor, landlord, or other representative, you represent and warrant that you have all rights, authority, consents, and permissions necessary to access, submit, upload, share, or manage information regarding the applicable property, client, transaction, or service request. You are responsible for complying with all professional, contractual, MLS, brokerage, confidentiality, fiduciary, privacy, and legal obligations that apply to your use of the Services.

You are responsible for verifying all information before relying on it, including property information, public record information, maintenance recommendations, AI-generated information, service scopes, quotes, Supplier credentials, licenses, insurance, permits, pricing, availability, and safety requirements.

You agree not to misuse another person's property information, public record information, contact information, account information, identity, or service request. Unauthorized property claims, false service requests, fraudulent activity, chargeback abuse, misuse of Supplier information, misuse of Huxedo data, or other harmful conduct may result in suspension or termination of your access to the Services.

By providing your contact information or using the Services, you authorize Huxedo, its service providers, and, where applicable, Suppliers to contact you by email, telephone, text message, push notification, in-app message, postal mail, or other communication channels regarding your account, property, service requests, quotes, bookings, scheduling, maintenance reminders, property records, verification codes, payments, billing, customer support, security, legal notices, and related transactional matters.

You authorize Huxedo to contact Suppliers on your behalf and to share information reasonably necessary to evaluate, quote, schedule, coordinate, perform, follow up on, or document a service request. This may include your name, contact information, property address, service category, service request details, photos, notes, property information, maintenance history excerpts, preferred appointment times, and other relevant information.

If a Supplier has not separately agreed to Huxedo supplier terms, that Supplier's use, storage, handling, or disclosure of information may be governed by that Supplier's own practices and policies. Huxedo is not responsible for a non-participating Supplier's use of information after it is shared at your direction or in connection with your service request.

Where permitted by law and with any required notice or consent, Huxedo may monitor, record, transcribe, summarize, analyze, or store communications made through or in connection with the Services, including calls, texts, emails, chats, voicemails, and messages, for customer support, service coordination, quality assurance, training, safety, fraud prevention, dispute resolution, payment administration, compliance, AI-assisted summaries, and improvement of the Services.

Transactional communications are part of the Services. You may opt out of certain communications as provided in the message or by contacting Huxedo, but opting out may limit our ability to provide the Services. Marketing communications, where offered, will be subject to any additional consent and opt-out rights required by law.

You consent to receive notices, disclosures, records, agreements, confirmations, receipts, and other communications electronically. You may withdraw consent to electronic communications by contacting [email protected], but withdrawal may limit your ability to use the Services.

Text Messaging Program. Huxedo sends recurring text messages to users who opt in. Service messages include account verification codes, appointment and service updates, and billing confirmations. Marketing messages (separate opt-in) include promotions and seasonal offers. Message frequency varies. Message and data rates may apply. Reply STOP to cancel; reply HELP for help. You can also reach us at [email protected] or 1-888-448-9336 (1-888-4HUXEDO). Carriers are not liable for delayed or undelivered messages.

When you request, schedule, book, approve, or pay for Supplier services through or in connection with the Services, you are contracting directly with the applicable Supplier for those services unless Huxedo expressly states otherwise in a separate written agreement signed by Huxedo.

Huxedo may assist with collecting service request information, identifying Suppliers, contacting Suppliers, requesting quotes, comparing options, coordinating appointments, sending reminders, transmitting information, processing payments, maintaining records, or facilitating communications. Such assistance does not make Huxedo responsible for the Supplier's work, quote, price, timing, materials, permits, insurance, safety practices, legal compliance, or performance.

Quotes, estimates, cost ranges, appointment windows, project timelines, service descriptions, availability, and other Supplier-related information are estimates or third-party information only unless expressly confirmed by the applicable Supplier. You should review and approve the final scope, price, timing, permits, warranties, cancellation terms, and other terms directly with the Supplier before authorizing work.

You remain free to communicate with and book Suppliers outside of Huxedo. Huxedo does not prohibit Homeowners from booking directly with Suppliers. However, Participating Suppliers and Sponsored Suppliers may be subject to separate agreements with Huxedo regarding Huxedo-originated opportunities, payment processing, sponsored placement, transaction administration, data use, and other supplier obligations.

Some Services may be offered without charge, while others may require payment of Fees. Huxedo may charge Fees for access to certain features, memberships, bookings, transactions, payment processing, supplier participation, sponsored placement, concierge services, property tools, home intelligence features, or other paid offerings.

Applicable Fees, billing terms, renewal terms, cancellation terms, refund terms, and other payment terms will be disclosed to the relevant User or Supplier before the applicable charge or in the applicable checkout page, account page, subscription confirmation, invoice, order form, supplier agreement, sponsored placement agreement, payment flow, or other transaction document.

Huxedo may offer free, discounted, trial, beta, pilot, promotional, limited-access, or fee-waived Services. Huxedo may modify, limit, extend, revoke, or discontinue any promotion, trial, beta feature, discount, or fee waiver prospectively at any time, unless otherwise stated in the applicable offer. Unless expressly agreed otherwise, Huxedo will not charge retroactive Fees for Services previously offered without charge.

Huxedo may introduce or change Fees prospectively. Any new or changed Fee will apply only after it is disclosed to the applicable User or Supplier through the Services, checkout, account page, invoice, order form, supplier agreement, sponsored placement agreement, or other applicable transaction document, except where a separate agreement permits otherwise.

Except as required by law or expressly stated in an applicable offer, checkout page, supplier agreement, sponsored placement agreement, or other transaction document, Fees paid to Huxedo are final and non-refundable.

Certain features of the Services may be offered on a membership or subscription basis. Membership Fees, billing frequency, renewal terms, cancellation terms, promotional terms, and any trial terms will be disclosed before you subscribe.

By subscribing, you authorize Huxedo and its payment processors to charge your selected payment method according to the disclosed terms until you cancel or the subscription otherwise ends. Unless otherwise disclosed, subscriptions renew automatically until canceled.

You may cancel a membership or subscription through the method made available in the Services or by contacting Huxedo. Unless otherwise disclosed or required by law, cancellation takes effect at the end of the then-current billing period and does not automatically entitle you to a refund for prior charges or unused portions of the billing period.

Where required by law, Huxedo will provide clear auto-renewal disclosures, renewal reminders, acknowledgment notices, cancellation instructions, and easy cancellation methods. If payment fails, Huxedo may retry the payment, request updated payment information, suspend paid features, cancel the subscription, or take other lawful steps to collect amounts due.

Huxedo may use third-party payment processors to process payments, store payment methods, facilitate transactions, collect Fees, transmit payment instructions, issue receipts, manage payouts, process refunds, handle disputes, or provide payment-related services. Your use of payment features may be subject to additional terms of those payment processors.

Huxedo may support payment by credit card, debit card, bank payment, digital wallet, payment link, or other payment methods made available through the Services. By providing a payment method, you represent that you are authorized to use that payment method and authorize Huxedo and its payment processors to charge that payment method for amounts you authorize or owe under these Terms or any applicable transaction document.

Where Huxedo facilitates payment between a Homeowner and a Participating Supplier, Huxedo acts as a payment facilitator or limited payment collection agent only to the extent expressly stated in the applicable payment flow or supplier terms. Huxedo is not a party to the Supplier's underlying service contract and does not assume responsibility for the Supplier's services by facilitating payment.

If a payment is made through the Services to a Participating Supplier, your payment obligation to that Supplier is deemed satisfied to the extent the payment is successfully received by Huxedo or its payment processor on behalf of the Supplier, subject to refunds, reversals, chargebacks, payment disputes, fraud review, or other payment adjustments.

Huxedo may charge, deduct, withhold, offset, reverse, debit, or collect amounts owed to Huxedo or a Supplier as permitted by these Terms, the applicable transaction document, supplier agreement, sponsored placement agreement, payment processor rules, or applicable law. This may include amounts relating to Fees, refunds, chargebacks, payment disputes, failed payments, fraud, misconduct, taxes, penalties, or other amounts owed.

You agree to keep payment information accurate and current. Huxedo may suspend or terminate access to paid features, supplier participation, sponsored placement, or payment functionality if payment information is inaccurate, incomplete, expired, invalid, declined, disputed, or associated with suspected fraud or misuse.

Taxes, duties, levies, governmental assessments, payment processor fees, and other transaction-related charges may apply. Unless otherwise stated, you are responsible for taxes and charges applicable to your purchases, payments, services, supplier income, sponsored placement, or use of the Services. Huxedo does not provide tax advice.

Cancellation and refund policies for Supplier services are set by the applicable Supplier unless Huxedo expressly states otherwise in writing. Any refund for canceled, incomplete, delayed, defective, disputed, or unsatisfactory Supplier services must be requested from the Supplier in accordance with the Supplier's policy or applicable law.

Huxedo may, but is not required to, assist with communications, documentation, payment disputes, refunds, or issue resolution between Users and Suppliers. If Huxedo provides assistance, it does so as a convenience and does not assume responsibility for resolving the dispute or for the Supplier's actions, omissions, pricing, quality, safety, legality, or performance.

You agree to cooperate in good faith with reasonable requests from Huxedo to investigate or resolve disputes involving service requests, payments, refunds, chargebacks, property records, communications, or alleged misuse of the Services.

Huxedo's own Fees are non-refundable except as required by law or expressly stated in the applicable checkout page, subscription confirmation, supplier agreement, sponsored placement agreement, order form, invoice, promotional offer, or other transaction document.

All maintenance and service records created, uploaded, submitted, authorized, inferred, or compiled through the Services, including property-related data aggregated from public sources, licensed data partners, Suppliers, Users, communications, invoices, photos, notes, AI outputs, and service interactions, may form part of Huxedo's proprietary Home History Database.

Huxedo owns the compilation, organization, structure, database rights, derived data, metadata, analytical outputs, anonymized records, and aggregated historical records in the Home History Database. You retain any intellectual property rights you may have in original content that you upload or provide, such as photos, invoices, documents, notes, or reviews.

By submitting, uploading, creating, authorizing, or permitting the submission of property-related data or User content, you grant Huxedo a non-exclusive, worldwide, royalty-free, transferable, sublicensable, perpetual license to store, host, reproduce, display, transmit, format, analyze, use, and create derivative works from that data and content for purposes of providing, maintaining, securing, improving, training, testing, developing, and commercializing the Services, including the Home History Database and related artificial intelligence, machine learning, analytics, and property intelligence systems, subject to our Privacy Policy and applicable law.

Property-level records may remain associated with a property after an individual account is deleted, closed, transferred, or no longer associated with the property. Huxedo may retain property-level history to maintain continuity of property records, improve accuracy, support future verified owners or occupants, prevent fraud, comply with law, resolve disputes, and improve the Services. Personal identifiers may be removed, limited, or anonymized before records are made available to future verified owners or occupants, subject to our Privacy Policy and applicable law.

Huxedo does not guarantee that property records, maintenance records, public records, Supplier records, uploaded documents, AI-generated outputs, or Home History Database entries are complete, accurate, current, or suitable for any particular purpose. You remain responsible for verifying all information before relying on it.

Certain features of the Services allow Users to claim, manage, or access information about a property. Before granting access to certain property-level data, Huxedo may verify ownership, occupancy, management authority, or other authority using public records, name matching, address matching, account information, multifactor authentication, one-time codes, documentation, third-party data, or other methods.

Verification is not guaranteed, may be incomplete, and may rely on information that is inaccurate, outdated, or unavailable. Huxedo may grant, deny, suspend, limit, or revoke property access in its discretion, including where ownership, occupancy, management authority, identity, account security, or lawful access is uncertain.

If a property is claimed in error, Huxedo may suspend or revoke access until authority is verified. Unauthorized claiming of a property, misuse of another person's public-record information, submission of false information, or unauthorized access to property data may result in account suspension, termination, data access restrictions, and potential referral to authorities.

Huxedo is not liable for temporary, limited, or erroneous access to property data before completion of ownership or authority verification, provided that Huxedo takes reasonable steps to remediate access after receiving notice of a credible issue.

The Services may display factual property information obtained from public governmental sources, licensed data partners, Suppliers, Users, business listings, search engines, directories, websites, or other third-party sources. This information may include permits, sales history, tax assessments, recorded mortgage details, property characteristics, service history, business information, ratings, reviews, photos, logos, service descriptions, hours, contact information, and other property or Supplier-related information.

In public views, Huxedo displays only factual property-level data and removes or anonymizes personal identifiers such as homeowner names or mailing addresses, subject to legal requirements and our Privacy Policy. Verified owners may see additional owner-specific details in their secure account. While Huxedo may take steps to improve data quality, Huxedo does not guarantee that public record data or third-party content is accurate, complete, current, lawful, error-free, or suitable for your use.

Third-party names, marks, logos, images, descriptions, reviews, ratings, and other content are used for identification, reference, and informational purposes only. Inclusion does not imply affiliation, sponsorship, endorsement, approval, exclusivity, ownership, or any right to such information. All trademarks and logos remain the property of their respective owners.

If you own rights in content displayed through the Services and want it removed or corrected, contact [email protected] and we will review and respond as appropriate.

You are solely responsible for any content you submit, upload, authorize, post, transmit, or make available through the Services, including photos, invoices, documents, notes, messages, service requests, reviews, ratings, property information, and other content ("User Content").

You represent and warrant that you have all rights, licenses, consents, permissions, and authority necessary to provide your User Content and to grant Huxedo the rights described in these Terms. You further represent that your User Content does not infringe, misappropriate, or violate any intellectual property, privacy, publicity, contractual, confidentiality, or other rights of any person or entity and does not violate applicable law.

Users are responsible for the content of reviews they submit. Reviews must be truthful, based on a real experience, and must not contain defamatory, fraudulent, misleading, unlawful, threatening, harassing, discriminatory, or infringing material. Huxedo does not pre-screen or actively verify review content and is not responsible for its accuracy. Huxedo reserves the right, but not the obligation, to remove or disable access to any User Content that Huxedo reasonably believes violates law, infringes rights, breaches these Terms, harms the Services, or creates risk to Huxedo, Users, Suppliers, or third parties.

By submitting suggestions, ideas, comments, questions, requests, or other feedback about Huxedo or the Services ("Feedback"), you grant Huxedo a worldwide, perpetual, irrevocable, royalty-free, transferable, sublicensable license to use, reproduce, modify, create derivative works from, publish, distribute, commercialize, and otherwise exploit the Feedback for any purpose without restriction, compensation, attribution, or obligation to you.

All content and materials available through the Services, including text, graphics, logos, software, designs, databases, compilations, workflows, recommendations, analytics, AI systems, user interfaces, property intelligence tools, and other materials, are owned by Huxedo or its licensors and are protected by intellectual property and other laws.

Subject to your compliance with these Terms, Huxedo grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, household, or internal business purposes, as applicable, and only as intended by Huxedo.

You may not copy, modify, adapt, translate, reproduce, distribute, sell, license, rent, publicly display, publicly perform, transmit, scrape, harvest, extract, reverse engineer, decompile, disassemble, create derivative works from, or otherwise exploit the Services, Huxedo content, Home History Database, data, metadata, software, or systems except as expressly permitted by Huxedo in writing.

You may not use any data, content, output, recommendation, property history, Supplier information, metadata, communications, database, or other material from the Services to build, train, improve, test, benchmark, commercialize, or support any artificial intelligence, machine learning, data product, database, marketplace, directory, lead-generation service, property intelligence product, home services product, or competing product or service without Huxedo's prior written consent.

If you believe content on the Services infringes your copyright, send a notice to [email protected] with: (a) the work claimed infringed, (b) the allegedly infringing material and location, (c) your contact details, (d) a statement of good faith belief, and (e) a statement under penalty of perjury that your notice is accurate and you are authorized to act.

Some features of the Services use artificial intelligence, machine learning, automation, rules-based systems, third-party models, or other automated tools to generate responses, summaries, reminders, estimates, maintenance suggestions, risk ratings, troubleshooting steps, DIY content, service recommendations, property insights, or other outputs.

AI-generated and automated outputs may be inaccurate, incomplete, outdated, unsafe, inappropriate for your property, or based on incomplete or incorrect data. Huxedo does not guarantee the accuracy, completeness, reliability, usefulness, code compliance, safety, legality, or suitability of any AI-generated or automated output.

AI-generated maintenance insights, reminders, DIY videos, instructional content, cost estimates, risk ratings, and recommendations are provided for informational and educational purposes only. They do not constitute professional, legal, engineering, architectural, inspection, construction, insurance, safety, or technical advice.

Tasks involving electrical systems, gas systems, plumbing, structural elements, roofing, ladders, hazardous materials, mold, pests, appliances, HVAC, fire safety, water intrusion, or other elevated-risk conditions should be evaluated and performed by qualified professionals. Users performing any repairs or maintenance do so at their own risk and are solely responsible for safe execution, property protection, and code compliance.

Not for Emergency Use. The Services are not intended for emergency use. If you believe there is an immediate risk to life, health, safety, property, gas systems, electrical systems, water intrusion, fire, carbon monoxide, structural integrity, or another emergency condition, contact emergency services, your utility provider, or a qualified emergency professional immediately. Do not rely on Huxedo, AI outputs, maintenance reminders, supplier coordination, or the Services for emergency response.

Huxedo disclaims all liability for injuries, property damage, code violations, financial loss, missed maintenance, system failure, inaccurate estimates, incorrect recommendations, or other losses arising from reliance on or misuse of AI-generated, automated, DIY, instructional, or informational content provided through the Services.

No Warranty. Huxedo provides the Services on an "as is" and "as available" basis without warranties of any kind, whether express, implied, statutory, or otherwise. To the fullest extent permitted by law, Huxedo disclaims all warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, quiet enjoyment, availability, security, and any warranties arising from course of dealing or usage of trade.

No Supplier Warranty. Huxedo does not warrant, guarantee, endorse, supervise, control, or assume responsibility for the quality, safety, legality, availability, pricing, timing, workmanship, licensing, insurance, permits, background, qualifications, or performance of any Supplier or Supplier service.

No Home Warranty or Insurance. Huxedo is not a home warranty company, insurance company, contractor, subcontractor, construction manager, property manager, inspector, engineer, architect, or professional advisor. The Services do not insure your home, guarantee repair outcomes, guarantee service availability, guarantee prevention of damage, or replace professional inspection, maintenance, repair, or emergency services.

No Consumer Reporting or Eligibility Use. Huxedo is not a consumer reporting agency and the Services, property records, Supplier information, recommendations, estimates, scores, AI outputs, Home History Database, or other information made available through the Services may not be used to determine eligibility for credit, insurance, employment, housing, tenant screening, lending, or any other purpose regulated by the Fair Credit Reporting Act or similar laws, unless Huxedo expressly offers a separate product governed by separate terms, disclosures, and consents.

Predictive Maintenance Disclaimer. Huxedo's maintenance reminders, insights, predictions, and recommendations are provided for informational purposes only. They are intended to assist with planning and tracking maintenance but do not guarantee prevention of damage, failure, loss, injury, or expense. Users remain solely responsible for monitoring, maintaining, repairing, and protecting their property and for engaging qualified professionals as needed.

Pricing and Estimate Disclaimer. Any cost ranges, service estimates, pricing data, budget information, or quote comparisons shown within the Services are provided for general informational and budgeting purposes only. Actual prices may vary based on scope, location, materials, Supplier rates, site conditions, taxes, permits, urgency, and other factors. Huxedo does not set or control Supplier pricing and does not guarantee that any estimate will match the final price.

Service Availability. The Services may be interrupted, delayed, unavailable, modified, or discontinued, including due to maintenance, upgrades, third-party failures, outages, network issues, data provider issues, payment processor issues, or events beyond our control. Huxedo does not guarantee uninterrupted, secure, timely, or error-free access to the Services.

Limitation of Liability. To the fullest extent permitted by law, Huxedo and its affiliates, officers, directors, employees, agents, licensors, service providers, successors, and assigns shall not be liable for any indirect, incidental, special, consequential, exemplary, punitive, or enhanced damages, including loss of profits, revenue, business, data, goodwill, use, property value, or expected savings, whether based on contract, tort, negligence, strict liability, warranty, statute, or any other legal theory, even if Huxedo has been advised of the possibility of such damages.

To the fullest extent permitted by law, Huxedo shall not be liable for: (a) Supplier acts, omissions, workmanship, pricing, delays, cancellations, no-shows, property damage, personal injury, code violations, licensing issues, insurance issues, warranty issues, or disputes; (b) your reliance on public records, third-party content, Supplier information, AI-generated content, estimates, maintenance reminders, or recommendations; (c) service interruptions, data loss, payment processor issues, or third-party platform failures; (d) unauthorized access resulting from your failure to secure your account; or (e) communications, meetings, transactions, or interactions with Suppliers or third parties.

In no event shall Huxedo's total aggregate liability for all claims arising out of or related to the Services, these Terms, any property, any service request, any Supplier interaction, or any transaction exceed the greater of: (a) the total amount of Fees paid by you directly to Huxedo for use of the Services during the twelve (12) months preceding the event giving rise to the claim; or (b) the minimum amount required by applicable law. For clarity, this limitation applies regardless of the value of any home improvement, repair, maintenance, inspection, installation, or other service project arranged, paid for, or discussed through the Services.

Some jurisdictions do not allow certain disclaimers or limitations of liability. In such jurisdictions, Huxedo's liability will be limited to the maximum extent permitted by law.

To the fullest extent permitted by law, you release Huxedo and its affiliates, officers, directors, employees, agents, licensors, service providers, successors, and assigns from any and all claims, demands, liabilities, damages, losses, costs, expenses, and disputes arising out of or related to: (a) any Supplier or Supplier service; (b) any service request, quote, booking, cancellation, delay, no-show, refund, payment, warranty, workmanship issue, property damage, personal injury, code violation, permit issue, license issue, insurance issue, or other dispute involving a Supplier; (c) any communications, meetings, transactions, or interactions with Suppliers or third parties; and (d) any third-party content, public record data, ratings, reviews, business listings, or linked websites.

If you are a California resident, you waive California Civil Code Section 1542, which provides: "A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in their favor at the time of executing the release and that, if known by them, would have materially affected their settlement with the debtor or released party." If you are not a California resident, you waive any similar law, statute, rule, or common-law principle that would otherwise limit the effect of this release to claims you know or suspect to exist at the time you agree to these Terms.

Nothing in this release or these Terms limits, excludes, or releases any claim, liability, or right that cannot be limited, excluded, or released under applicable law, including liability for gross negligence, willful misconduct, or personal injury to the extent such liability cannot be waived in advance under applicable law.

You agree to indemnify, defend, and hold harmless Huxedo and its affiliates, officers, directors, employees, agents, licensors, service providers, successors, and assigns from and against any and all claims, liabilities, damages, losses, fines, penalties, and expenses, including reasonable attorneys' fees, arising out of or related to: (a) your access to or use of the Services; (b) your violation of these Terms or applicable law; (c) your User Content, Feedback, property information, or service requests; (d) your violation of another person's rights; (e) your dispute, transaction, communication, or interaction with any Supplier or third party; (f) your unauthorized property claim or misuse of property data; (g) your fraud, misconduct, negligence, or intentional acts; or (h) any services you request, receive, offer, provide, facilitate, or pay for in connection with the Services.

Huxedo reserves the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification by you. You may not settle any matter subject to indemnification without Huxedo's prior written consent.

You agree that your insurer, subrogee, assignee, or other successor shall be bound by these Terms to the same extent as you, including all disclaimers, liability limitations, release, indemnification, arbitration, class waiver, jury waiver, and limitation-period provisions. No insurer, subrogee, assignee, or successor shall have greater rights against Huxedo than you have under these Terms. To the fullest extent permitted by law, any insurer that pays a claim arising out of or related to your use of the Services, Supplier services, property damage, or any related dispute is deemed to have waived any right of subrogation against Huxedo.

Please read this section carefully. It requires binding arbitration of most disputes and limits the manner in which you may seek relief from Huxedo.

Before initiating arbitration or litigation, you and Huxedo agree to first attempt to resolve any dispute informally. The party raising a dispute must send written notice describing the dispute, the relevant account or transaction, the relief requested, and contact information for the party raising the dispute. Notices to Huxedo must be sent to [email protected] with the subject line "Legal Dispute Notice." The parties will attempt in good faith to resolve the dispute for at least thirty (30) days after receipt of the notice, unless a longer period is required by law or agreed by the parties.

Except for disputes that qualify for small claims court or requests for temporary or injunctive relief to protect intellectual property, confidential information, data security, platform integrity, or prevent unauthorized use, scraping, abuse, or misuse of the Services, any dispute, claim, or controversy arising out of or relating to these Terms, the Services, your account, any property, any Supplier interaction, any payment, or your relationship with Huxedo shall be resolved through binding arbitration administered by the American Arbitration Association in accordance with its Consumer Arbitration Rules, or, if those rules do not apply, the AAA rules that the AAA determines are applicable. The Federal Arbitration Act governs the interpretation and enforcement of this arbitration agreement. If any AAA rule conflicts with this arbitration provision, the AAA Consumer Arbitration Rules will control to the extent required for a consumer arbitration.

Unless the parties agree otherwise or the arbitrator determines otherwise, arbitration hearings will be conducted by telephone, video conference, or based on written submissions. If an in-person hearing is required, it will take place in Johnson County, Kansas, unless the AAA Consumer Arbitration Rules or applicable law require a different location.

The arbitrator shall have exclusive authority to resolve disputes regarding the interpretation, applicability, enforceability, or formation of this arbitration agreement, including any claim that all or part of these Terms is void or voidable, except that any dispute about the enforceability of the class action waiver shall be decided by a court of competent jurisdiction.

You and Huxedo each waive any right to a jury trial. Any arbitration shall be conducted on an individual basis only. Class arbitrations, class actions, collective actions, representative actions, private attorney general actions, and consolidated proceedings are not permitted. You and Huxedo each agree that claims may be brought only in an individual capacity and not as a plaintiff, claimant, or class member in any purported class, collective, consolidated, or representative proceeding.

If twenty-five (25) or more similar arbitration demands are filed against Huxedo by or with the assistance of the same law firm, group of law firms, coordinated counsel, or organizations, Huxedo may request that the arbitration provider administer the claims under applicable mass arbitration, batching, bellwether, or coordinated-case procedures to promote efficient and fair resolution.

Either party may bring an individual claim in small claims court if the claim qualifies. Either party may seek temporary, preliminary, or permanent injunctive relief in a court of competent jurisdiction to protect intellectual property, confidential information, data, security, platform integrity, payment systems, or to prevent unauthorized access, scraping, fraud, abuse, or misuse of the Services.

This arbitration agreement survives termination of your account, termination of the Services, and any changes to these Terms.

Huxedo may, in its sole discretion, with or without notice, suspend, limit, block, deactivate, or terminate your access to all or part of the Services for any reason, including if Huxedo believes that you have violated these Terms, created risk or potential legal exposure for Huxedo, misused property data, submitted false information, engaged in fraud, abused promotions, failed to pay amounts owed, initiated improper chargebacks, misused Supplier information, violated another person's rights, harmed other Users or Suppliers, or used the Services in a way that is unlawful, unsafe, abusive, or inconsistent with the purpose of the Services.

If your account is suspended or terminated, you may lose access to your account, paid features, property records, communications, service requests, promotions, credits, payment features, Supplier participation, sponsored placement, or other Services. Unless required by law or expressly stated in a separate agreement, you are not entitled to a refund, credit, or compensation for any suspension, limitation, or termination.

You may stop using the Services at any time. Account deletion, cancellation, or termination does not automatically delete property-level records from the Home History Database, remove records that Huxedo is legally permitted or required to retain, or affect provisions of these Terms that by their nature should survive.

Huxedo may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website, updating the effective date, sending a notice through the Services, sending an email, or using another reasonable method.

Unless otherwise stated, updated Terms become effective when posted or when notice is provided. Your continued access to or use of the Services after the updated Terms become effective constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Services.

Huxedo may also change, update, improve, supplement, limit, suspend, discontinue, or modify any part of the Services, including features, pricing, Fees, products, promotions, Supplier participation, sponsored placement, payment features, geographic availability, and data sources. If a material change to Fees affects you, Huxedo will provide notice as required by applicable law or the applicable transaction document.

You may not, directly or indirectly:

• Use the Services for unlawful, fraudulent, abusive, misleading, harmful, threatening, harassing, defamatory, discriminatory, obscene, or otherwise inappropriate purposes.
• Misrepresent your identity, authority, property ownership, property access rights, Supplier status, qualifications, experience, insurance, licensing, service request, quote, payment information, or any other information.
• Claim, access, manage, or request information about a property without lawful authority.
• Use automated means, including bots, scrapers, spiders, crawlers, scripts, or automated tools, to access, copy, monitor, extract, harvest, index, scrape, or use the Services, except for standard indexing by publicly available search engines that comply with Huxedo's instructions.
• Copy, harvest, extract, publish, sell, license, disclose, or misuse Huxedo data, Supplier information, User information, property information, Home History Database records, public record compilations, metadata, communications, or content for unauthorized purposes.
• Use any data, content, output, property history, Supplier information, or metadata from the Services to build, train, test, improve, benchmark, or commercialize any artificial intelligence, machine learning, data product, marketplace, directory, lead-generation product, home services product, property intelligence product, or competing product or service.
• Reverse engineer, decompile, disassemble, interfere with, compromise, overload, disrupt, or attempt to derive source code, algorithms, models, systems, security features, or underlying technology of the Services.
• Upload or transmit viruses, malware, ransomware, harmful code, or other technologies that may damage, interfere with, intercept, or expropriate any system, data, or personal information.
• Manipulate, undermine, fabricate, purchase, sell, or misuse ratings, reviews, referrals, service requests, quotes, payments, promotions, Supplier recommendations, sponsored placement, or search results.
• Circumvent, manipulate, avoid, dispute in bad faith, or interfere with Fees, billing, payment processing, payment obligations, Supplier agreements, sponsored placement agreements, or other amounts owed to Huxedo or another party.
• Use information obtained through the Services to spam, harass, solicit, profile, sell to, market to, or contact Users or Suppliers for purposes unrelated to the specific service request or intended use of the Services.
• Fail to honor a User's request, including a request made through Huxedo, to stop receiving phone calls, text messages, emails, or other communications.
• Use the Services in a manner inconsistent with their intended purpose or that may harm Huxedo, Users, Suppliers, third parties, or the integrity of the Services.

Governing Law. These Terms are governed by and construed in accordance with the laws of the State of Kansas, without regard to its conflict of law principles, except that the Federal Arbitration Act governs the interpretation and enforcement of the arbitration agreement.

Entire Agreement. These Terms, together with the Privacy Policy and any applicable additional terms, order forms, checkout terms, supplier agreements, sponsored placement agreements, payment terms, or other transaction documents, constitute the entire agreement between you and Huxedo regarding the Services.

Assignment. You may not assign these Terms without Huxedo's prior written consent. Huxedo may assign these Terms to an affiliate or in connection with a merger, acquisition, financing, reorganization, sale of assets, change of control, or by operation of law.

No Waiver. Huxedo's failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

Severability. If any provision of these Terms is found unenforceable or invalid, the remaining provisions will remain in full force and effect, except as otherwise stated in the arbitration section.

Survival. Provisions that by their nature should survive termination will survive, including sections relating to property records, Home History Database, intellectual property, user content, AI governance, disclaimers, limitation of liability, release, indemnification, subrogation, arbitration, payment obligations, prohibited uses, and miscellaneous provisions.

Limitation Period. To the fullest extent permitted by law, any claim arising out of or related to the Services or these Terms must be filed within one (1) year after the cause of action accrues, or be permanently barred.

Force Majeure. Huxedo is not liable for delays or failures caused by events beyond its reasonable control, including acts of God, natural disasters, labor disputes, utility failures, power failures, internet failures, telecommunications failures, cyberattacks, payment processor failures, data provider failures, governmental actions, war, terrorism, civil unrest, epidemics, pandemics, or supply chain disruptions.

Export Compliance and Sanctions. You agree to comply with U.S. and international export laws, sanctions, and trade restrictions and not to use the Services in prohibited countries or for prohibited end uses.

No Third-Party Beneficiaries. Except as expressly stated in these Terms, these Terms are for the benefit of you and Huxedo only and do not create rights in any other person or entity.

No Affiliation. Huxedo operates as an independent platform and is not affiliated with, endorsed by, sponsored by, or connected to any other marketplace, data provider, Supplier, search engine, review platform, government agency, or service company unless expressly stated by Huxedo in writing. Any references or links to third parties are provided solely for informational purposes.

Interpretation. The words "including," "include," and "includes" mean "including without limitation." Section headings are for convenience only and do not affect interpretation.
